Exclusivity Agreement Sample, Memorandum of Understanding ( MOU ) Sample

Below is sample form that could be used in formulating Exclusivity Agreement Sample, Memorandum of Understanding ( MOU ) Sample , You just have to change all variable that has quotation marks in order to be used in any projects.

““Company A”” is invited by “Client Name” to submit a proposal for the “Project Name” in “ Project Location “

In this respect, Company B agrees to associate with “Company A” in the preparation of the bid to “ Scope of Works “ and pledges to provide services to “COMPANY A” on Exclusively Basis for the Supply Contract, In Case the contract is awarded to “COMPANY A”.

IT IS HEREBY AGREED THAT;

  1. If “COMPANY A”’s proposal is successful, “COMPANY A” & “COMPANY B” will enter into a formal, legally binding, supply agreement. “COMPANY A” will act as the Prime Contractor and “COMPANY B” will act as supplier to “COMPANY A”.
  1. B. EXCLUSIVITY

This agreement shall be limited solely to this project and “COMPANY B” agrees to enter into this Agreement on the basis of Exclusivity i.e. they will not enter into an arrangement with any third party on matters relating, whether directly or indirectly, to the subject proposal.

Each of the partners warrants that the principle of exclusivity will be adhered to by its subsidiaries and other firms or individuals over which it may exercise control.

C.     SCOPE OF WORK

The scope of work for the proposal will be the services listed in appendix A.

D.     REMUNERATION

The terms and amounts of remuneration for the supply of pipes will be finally agreed upon if “COMPANY A”’s proposal is successful and will be on the principle of Back-to-Back i.e. “COMPANY B” will only be paid when “COMPANY A” is remunerated by “CLIENT”

E.      FINAL AGREEMENT

Upon award of the contract for the project, a final agreement (formal supply agreement) shall be executed stipulating in detail the relations between the partners.

F.      CONFIDENTIALITY

The parties will keep this agreement confidential and will not furnish copies to anyone outside their respective organizations other than “CLIENT”.

  1. G. GOVERNING LAW

This agreement (MOU) and any subsequent agreements made for the subject proposal shall be governed by and be construed in accordance with the Laws and regulations of the “Governing Law Land”.

The parties have caused this MOU to be executed by their duly authorized representatives and each party retains one signed original.
